HDFC Bank Bonus Issue 2025: HDFC Bank, India’s largest private lender, has recommended its first-ever1:1 bonus equity issue along with a special dividend of Rs 5 per share for FY26 and the first quarter results for FY26. The private lender has fixed August 27 as the record date for the bonus issue to be aware of the eligible shareholders for the issue.
A bonus issue is when a company gives its existing shareholders additional shares for free in proportion to the number of shares they already own.
“This has reference to our intimation dated July 19, 2025, wherein the Board of Directors of HDFC Bank Limited (“Bank”) had approved the issuance of bonus shares in the ratio of 1:1 i.e. 1 equity share for every 1 equity share held by the shareholders as on the record date i.e. August 27, 2025 (“Record Date”), subject to applicable approvals including from the Members of the Bank,” HDFC Bank said in the filing.
The HDFC Bank, which has its American Depositary Shares (ADS) listed on the New York Stock Exchange, announced that it will maintain the existing conversion ratio for its ADS at one ADS representing three equity shares of Re 1 each after its recently approved bonus issue.
To reflect the bonus issue, the Bank will direct its ADS depositary, JP Morgan Chase Bank, N.A., to increase the total number of ADS in the 1:1 ratio. This adjustment ensures that ADS holders receive the benefit of the bonus shares in line with the underlying equity shares.
HDFC Bank Special Dividend 2025
HDFC Bank announced the special dividend of Rs 5 per equity for the current financial year 2025-26.
The lender had fixed Friday, 25, 2025 as the record date for the special dividend of FY26. The Special Interim Dividend shall be paid to the eligible Members on Monday, August 11, 2025.
“A Special Interim Dividend of Rs. 5 per equity share of Re. 1/- each fully paid up (i.e. 500%), for the FY 2025-26,” HDFC Bank said in a regulatory filing.
HDFC Bank Q1FY26 Results
HDFC Bank had reported a 12.24 per cent year-on-year rise in its net profit to Rs 18,155.21 crore for the first quarter ended June 2025. Its net interest income, which is the difference between interest earned and interest expended, rose 5.4% to Rs 31,439 crore in April-June, against Rs 29,839 crore in the year-ago period.
Its net profit had stood at Rs 16,174.75 crore in the corresponding period last year.
However, on a consolidated basis, its net profit fell by 1.31 per cent to Rs 16,258 crore for the June 2025 quarter. The lender had reported a net profit of Rs 16,475 crore in the year-ago period.
Its total income jumped to Rs 99,200 crore in the June quarter from Rs 83,701 crore in the year-ago period.
The total expenditure stood at Rs 63,467 crore against Rs 59,817 crore in the same period of the preceding fiscal, as per an exchange filing.
